A legal disclaimer

1) No legal advice & no lawyer-client relationship

The content on this Site is for general information only. It is not legal or professional advice and should not be relied on as such. Contacting us through the Site, email, phone, or a contact form does not create a solicitor-client relationship or any duty of loyalty, confidentiality, or professional responsibility. A formal solicitor-client relationship arises only after we complete a conflicts check and confirm our retainer with you in writing.

2) Do not send confidential information

Do not send confidential, privileged, or time-sensitive information through the Site. Unsolicited information is not confidential, may not be treated as privileged, and does not impose any obligations on us.

3) Permitted use

You may view, share links to, and download non-confidential materials on the Site for personal, non-commercial use, provided you do not remove proprietary notices. You agree not to:

 

(a) scrape, mine, or index the Site;

(b) bypass security controls;

(c) use the Site for unlawful, infringing, or harassing purposes; or

(d) misrepresent your identity or affiliation.

4) Intellectual property

All text, graphics, logos, downloads, and other content on the Site are owned by ZS Law or our licensors and are protected by Canadian and international IP laws. Except as permitted in Section 3, no license is granted to reproduce, modify, or create derivative works without our prior written consent.

5) Third-party links & tools

The Site may reference third-party websites, platforms, or tools. We do not control and are not responsible for their content, privacy practices, or availability. Your use of any third-party site or tool is at your own risk and subject to that party’s terms.

6) Accuracy, availability & changes

We aim to keep information current but do not guarantee completeness, accuracy, or currency. The Site (and any content or features) may be updated, suspended, or discontinued at any time without notice.

7) Email and electronic communications

Electronic communications can be intercepted or lost. By communicating with us electronically, you accept these risks. We do not accept service of court documents by email or through this Site unless expressly agreed in writing.

8) No warranties; limitation of liability

The Site is provided “as is.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. ZS Law and our lawyers, employees, and agents will not be liable for any damages arising from or related to your use of the Site, including indirect, consequential, exemplary, or punitive damages. If liability cannot be excluded, it is limited to $100 CAD in the aggregate.

9) Indemnity

You will indemnify and hold ZS Law harmless from claims, losses, and costs (including reasonable legal fees) arising from your misuse of the Site or violation of these Terms.

10) Governing law & forum

These Terms are governed by the laws of Ontario and the laws of Canada applicable therein, without regard to conflicts rules. You irrevocably submit to the exclusive jurisdiction of the courts of Ontario, sitting in Ottawa, Ontario.

11) Changes to these Terms

We may update these Terms from time to time. Your continued use of the Site after changes are posted signifies acceptance of the updated Terms.

12) Severability & entire agreement

If any portion of these Terms is invalid, the remainder continues in effect. These Terms constitute the entire agreement between you and ZS Law regarding use of the Site.

Privacy Policy

1) Scope

This Privacy Policy explains how ZS Law PC collects, uses, discloses, and safeguards personal information when you visit our Site, subscribe to updates, contact us, or otherwise interact with us. It does not replace our client engagement terms or our professional obligations under Law Society rules; where there is a conflict, those rules prevail.

2) What we collect

a) Information you provide

  • Contact details (name, email, phone, address, organization/role).

  • Inquiry details and intake information you choose to submit (including names of related parties for conflicts checks).

  • Subscription preferences (e.g., newsletters or event invitations).

  • Application materials if you apply for a job or placement.

b) Information collected automatically

  • Technical data (IP address, device and browser type, pages visited, timestamps, referring URLs).

  • Cookies and similar technologies to operate the Site, measure traffic, and improve content. See Section 8 (Cookies & analytics).

c) Client information

If you become a client, we collect and process personal information necessary to provide legal services (e.g., identification/verification, matter facts, evidence, billing). Processing for client work is governed by our retainer and professional obligations.

3) How we use personal information

We use personal information to:

  • Communicate with you and respond to inquiries.

  • Conduct conflicts checks and determine whether we can act for you.

  • Provide, improve, and secure the Site (usage analytics, troubleshooting, fraud prevention).

  • Send updates or marketing communications with your consent (you may withdraw at any time).

  • Meet legal, regulatory, audit, insurance, and professional-standards obligations.

  • Recruit and evaluate candidates.

4) Legal bases / consent

Where required by law (including Canada’s Anti-Spam Legislation), we obtain your consent for marketing emails. For other processing, we rely on consent, our legitimate interests in running our practice and Site, the performance of a retainer, and compliance with legal and regulatory obligations.

5) Disclosure of personal information

We may disclose personal information to:

  • Service providers (e.g., website hosting, email delivery, IT support, analytics, cloud services) under confidentiality and security obligations.

  • Opposing parties, courts/tribunals, regulators, experts, and other third parties as necessary for client matters (subject to retainer and professional duties).

  • Law Society of Ontario, insurers, auditors, or authorities where required or permitted by law.

  • Prospective purchasers or successors in the context of a merger, acquisition, or reorganization, subject to appropriate safeguards.

We do not sell your personal information.

6) Cross-border storage

Some service providers may store or access personal information from outside Canada (e.g., the United States). Your information may therefore be subject to the laws of those jurisdictions.

7) Security

We use administrative, physical, and technical safeguards designed to protect personal information. However, no method of transmission or storage is completely secure. If you prefer not to transmit information electronically, please contact us for alternatives.

8) Cookies & analytics

We use essential cookies for core Site functions and may use performance/analytics cookies to understand how visitors use the Site. You can manage cookies through your browser settings; disabling cookies may affect Site functionality. If we use third-party analytics (e.g., Google Analytics), those providers may collect or receive information from your browser or device to provide measurement services and improve their products.

9) Retention

We retain personal information for as long as necessary for the purposes described in this Policy, to comply with legal and professional obligations (including Law Society record-keeping requirements), to resolve disputes, and to enforce our agreements. Client files are retained and destroyed in accordance with our records policy.

10) Your rights

Subject to limited exceptions under applicable law, you may request access to or correction of your personal information, withdraw consent to marketing, or ask questions about our privacy practices by contacting our Privacy Officer. If we cannot fulfill a request, we will provide reasons. You may also contact the Office of the Privacy Commissioner of Canada or the relevant provincial authority regarding concerns.

11) Children

Our Site is intended for adults. We do not knowingly collect personal information from children under the age of 16 without parental/guardian consent.

12) Do not send confidential information via the Site

Submitting information through the Site does not make you a client and is not privileged. Please avoid sharing sensitive details until we confirm we can act for you and have been retained.

13) Marketing communications

We send marketing emails only with consent or as otherwise permitted by law. You can unsubscribe using the link in our emails or by contacting us.

14) Changes to this Policy

We may update this Policy periodically. The “Effective date” above reflects the latest revision. Material changes will be highlighted on the Site.
